Resumo

O objetivo do presente trabalho é analisar a constitucionalidade da incidência do Imposto sobre Operações Financeiras sobre o mútuo celebrado entre pessoas jurídicas ou entre pessoa jurídica e pessoa física, quando não haja a participação de instituição financeira, nem de pessoa jurídica ou física que desenvolva atividade análoga à de instituição financeira, ainda que de forma acessória ou eventual. Os tribunais federais têm mantido a cobrança do imposto, com o principal fundamento de não ser exigível que o contrato de mútuo seja celebrado com instituição financeira. Nessa perspectiva, é importante verificar eventual excesso do Fisco na interpretação da norma, quer quanto ao comando da Constituição, quer do Código Tributário Nacional, estabelecendo os exatos contornos do tributo, de modo a eliminar os excessos inconstitucionais na interpretação de seu conteúdo. É também oportuno comparar o Imposto sobre Operações Financeiras com imposto similar em debate na União Europeia, pois excessos do Fisco podem implicar descrédito para o modelo tributário brasileiro, afetando a abertura do mercado interno para investimentos de empresas estrangeiras e a inserção do Brasil nos mercados mundiais.

IOF on mutual loans with legal entities that do not develop financial activity or similar

The purpose of this paper is to analyze the constitutionality of the Tax on Financial Transactions on Mutual Loans concluded between legal entities or between legal entities and individuals, when there is neither participation of a financial institution, nor legal or physical entity that develops activity similar to the financial institution, not even in a supplementary or occasional way. The federal courts have sustained the taxation, because they understand that mutual loans do not need to be concluded with a financial institution. On these grounds, it is important to verify occasional abuses committed by the tax administration when interpreting the law, mainly the Federal Constitution and the Federal Tax Code, in order to establish the precise range of the tax and put aside occasional abusive interpretations in the tax administration’s benefit. Occasional unconstitutional abuses committed by the tax administration can also leave to a discredit on the Brazilian taxation model, on the grounds of an internal market opened to foreign investments, considering also the participation of Brazil in international markets. Due to this respect, it is opportune to compare the Brazilian tax with a similar tax proposed and discussed in the European Union.
